Combine the first 6 ingredients in a blender and then pour the sauce over the chicken and marinate overnight. Grill or broil the chicken on both sides until done.
For the dipping sauce:
Combine sugar, water & vinegar bring to a boil and boil for 2 minutes. Add the garlic, fish sauce & chili sauce. Simmer for 2 minutes. Remove from heat, add the lime & carrots and serve with the chicken.
