In a large saucepan, cook sugar and corn syrup over med-high heat till bubbly and sugar granules dissolve. Remove from heat and stir in peanut butter, until smooth.
Set aside and let cool several minutes, then stir in cereal, one cup at a time.
Spread into a greased 11X14 baking dish and press down with hands or bottom of measuring cup to make smooth.
Allow to cool for at least 30 minutes.
Put both bags of chips in microwave safe bowl and microwave on defrost, opening door to stir every few minutes. Continue process until chips are melted completely and smooth. Spread over bar mixture and allow to cool completely before cutting.
